These Terms and Conditions ("Terms") are an agreement between you and GLYMSE AFRICA LIMITED RC. 9800468, the operator of Glymse ("Glymse", "we", "us"). They govern your use of the Glymse app, website and support channels (the "Service").

You accept these Terms by creating an account, accepting an invitation to join a business, or using the Service. If you sign up on behalf of a business, you confirm that you have authority to bind that business, and "you" includes the business. Our Privacy Policy and Community Guidelines form part of these Terms.

1. Eligibility and accounts

1.1 You must be at least 18 years old and able to enter a binding contract under Nigerian law.
1.2 Keep your account details accurate and up to date. Keep your password, PIN and devices secure. You are responsible for all activity under your login. Tell us immediately at support@glymse.com if you suspect unauthorised access.
1.3 One login is for one person. Do not share logins. Invite each team member separately.

2. Owners and team members

2.1 Owner. The person who creates a business on Glymse is its owner. The owner controls the business account, its records, its stores and who has access. Ownership cannot be transferred inside the app, only by written request with verification.
2.2 Team members. Owners can invite team members and give them roles, such as recording sales only or viewing reports. Owners are responsible for:

  • choosing roles appropriately;
  • removing access promptly when someone leaves;
  • telling team members that their entries are visible to the owner; and
  • the conduct of their team members on the Service.

2.3 Team members may use the Service only for the business that invited them and within the role they were given. A team member's account details belong to them. The records they create belong to the business.
2.4 Disputes over a business. If people disagree about who controls a business account, for example co-owners or family members, we may restrict access until they agree or until a court order or other reasonable evidence shows who is entitled to it. We are not responsible for resolving disputes between business owners.

3. What Glymse is, and what it is not

3.1 Glymse is a digital record book and insight tool. It helps you record sales, expenses, products, stock, credit sales, instalment plans and credit purchases. It shows summaries and reports based on what you enter, and lets owners see activity across stores and team members.
3.2 Glymse does not move or hold money. We are not a bank, payment service, wallet, lender or debt collector. "People owe you", "Instalment plans" and "People you owe" are records you keep. We do not lend, collect or pay any amount on your behalf.
3.3 Glymse is not professional advice. Reports such as revenue, cost of goods sold, gross profit, net profit and inventory valuation are calculated only from the data you enter. They are not audited accounts. They are not tax, accounting, legal or investment advice. Do not rely on them alone for tax filings, loans or legal matters. Consult a qualified professional.
3.4 Accuracy depends on your entries. If records are missing, late or wrong, reports will be wrong too. You are responsible for checking your records, including entries your team members make.

4. Free launch period and future pricing

4.1 Glymse is free to use during our launch period. The launch period lasts from the date you first sign up until we announce paid plans.
4.2 If we introduce paid plans, we will give you at least 30 days' notice in the app and by email. The notice will set out the prices and which features will be paid. We will never charge you unless you actively choose a paid plan. If you do not upgrade, you will be able to export your records. Your data will not be deleted just because paid plans start.
4.3 We may offer pilot participants and early users benefits such as founding-member pricing. Any such benefit will be confirmed in writing.

5. Pilot and early-access features

5.1 Some features may be labelled pilot, beta or early access. These features may change, be limited or be withdrawn, and may not work perfectly.
5.2 If you take part in our pilot programme, we may contact you for feedback by phone, WhatsApp or in person. We may use your feedback to improve Glymse without paying you. Taking part is voluntary, and you can stop at any time.

6. Your data

6.1 You own your business records. You grant us a limited, non-exclusive licence to host, copy, process and display your records. We use this licence only to provide, secure and improve the Service, as our Privacy Policy describes. It ends when your data is deleted, except for de-identified, aggregated statistics that cannot identify you.
6.2 For personal data about your customers, suppliers and staff that you record in Glymse, you are the data controller, and we are your data processor. We will:

  • process that data only to provide the Service and on your documented instructions, which include these Terms and how you configure the app;
  • keep it confidential and secure;
  • use sub-processors only under written terms that protect the data at least as well as these Terms, and keep a list of them available on request;
  • help you respond to requests from the people concerned;
  • notify you without undue delay of a breach affecting your data; and
  • delete or return the data when your account ends.

6.3 You confirm that you have a lawful basis to record the personal data you enter.

7. Acceptable use

You must follow our terms and conditions as well as Community Guidelines. In particular, you must not:

  • use Glymse for any unlawful business or purpose, including fraud, money laundering, terrorist financing, or trade in stolen, counterfeit or prohibited goods;
  • create false records to deceive lenders, investors, tax authorities, partners or anyone else;
  • use customer details to harass, threaten or publicly shame anyone over a debt;
  • try to access other businesses' data, probe or break our security, or overload the Service;
  • copy, resell, reverse engineer or scrape the Service, except where the law permits it despite this restriction; or
  • upload malware or unlawful content.

8. Intellectual property

The Glymse app, brand, design, software and content belong to us or our licensors. We give you a personal, revocable, non-transferable licence to use the app while these Terms apply. Ideas and feedback you send us may be used freely.

9. Availability and syncing

9.1 We work to keep Glymse available, but we do not guarantee uninterrupted service. Planned maintenance, network problems, app store issues or events beyond our control may affect access.
9.2 Records entered without an internet connection may sync only once your device reconnects. Until they sync, they may not appear for other team members or the owner. If you uninstall the app or lose your device before syncing, unsynced records may be lost.

10. Suspension and termination

10.1 You can stop using Glymse at any time and delete your account in the app.
10.2 We may suspend or close an account, or remove a team member's access, if we reasonably believe that:

  • these Terms or our Community Guidelines have been broken;
  • the account is being used for unlawful activity; or
  • suspension is needed to protect other users, the Service or the account owner, for example after a security breach.

Where it is lawful and safe, we will tell you why and give you a chance to respond first.
10.3 If we close your account for any reason other than unlawful activity, we will give you at least 14 days to export your records first. If we discontinue the Service entirely, we will give at least 60 days' notice.

11. Disclaimers

To the extent the law allows, we provide the Service "as is" and "as available". We do not promise that it will be error-free, that reports will be accurate if your entries are incomplete, or that it will meet every business need. Nothing in these Terms limits any rights you have under the Federal Competition and Consumer Protection Act 2018 or any other law that cannot be excluded by contract.

12. Limitation of liability

12.1 To the extent the law allows, we are not liable for:

  • lost profits, revenue, stock or business opportunities;
  • losses caused by inaccurate, missing or unsynced entries;
  • theft, fraud or misconduct by your team members, customers or suppliers;
  • decisions you make based on reports; or
  • any indirect or consequential loss.

12.2 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.

13. Indemnity

You agree to compensate us for reasonable losses, costs and legal fees arising from third-party claims caused by:

  • your breach of these Terms;
  • your unlawful use of personal data you recorded; or
  • your team members' misuse of the Service.

14. Governing law and disputes

14.1 These Terms are governed by the laws of the Federal Republic of Nigeria.
14.2 If a dispute arises, please contact us first at support@glymse.com. We will try in good faith to resolve it within 30 days. If that fails, either party may refer the dispute to mediation at the Lagos Multi-Door Courthouse. If mediation does not resolve it within 60 days, the courts of Lagos State will have jurisdiction. This does not affect your right to complain to the NDPC or the Federal Competition and Consumer Protection Commission.

15. Changes to these Terms

We may update these Terms as the Service or the law changes. For material changes, we will give at least 14 days' notice in the app or by email before they take effect. If you keep using Glymse after that date, you accept the new Terms. If you do not agree, you can export your records and close your account.

16. Notices and contact

We may send notices through the app, by email or by SMS to the details on your account. You can reach us at:

  • Email: support@glymse.com
  • Address: No 15, Adebajo Street, Kongi Bodija Ibadan, Oyo State
  • In-app: More → Help centre

17. General

  • Whole agreement. These Terms, together with the Privacy Policy and the Community Guidelines, are the whole agreement between you and us about the Service.
  • Transfer. You may not transfer your rights under these Terms without our written consent. We may transfer ours as part of a reorganisation, merger or sale, provided your rights are not reduced.
  • Severability. If any part of these Terms is found to be unenforceable, the rest stays in effect.
  • Waiver. If we do not enforce a right, we have not waived it.
